Could i be taken over Apple Pty Ltd to save me forming a new company.

My Dad and mum are going to retired, they no longer use the company but have not de-registered. and My husband and i want to form a business that sell non-meat food.

But Apple Pty Ltd (Dad and mum’s business name) has an objects clause which expressly state that they sell meat.

Q1. Could i be taken over Apple Pty Ltd to save me forming a new company.

Q2. Whether i can create a new company and how could i do this
